Refer-A-Friend Terms and Conditions

STANLEY REFERRAL PROGRAM TERMS 

 

Effective: 9/25/2024 

 

PMI WW Brands, LLC (“Stanley”) is offering eligible participants the opportunity to refer friends to Stanley via a referral program (“Referral Program”) conducted through our www.stanley1913.com website (the “Site”).  

 

By participating in the Referral Program (either as a Referrer (defined below) or the recipient of a Referral Link (also defined below)), you understand you are governed by these Referral Program Terms (“Referral Program Terms”), as well as the Site’s Terms of Use (“Site Terms”), and you expressly agree to such terms. In the event of a conflict between these Referral Program Terms and the Site Terms, these Referral Program Terms control solely with regard to the Referral Program. Personal information collected as part of the Referral Program will be used in accordance with our Privacy Policy (California residents: Please see our Privacy Policy for our Notice of Financial Incentive.)[Link to this specific section of the Privacy Policy] 

 

As described below, we reserve the right to terminate the Referral Program at any time for any reason. 

 

  1. Eligibility. The Referral Program is open to U.S. residents who are at least 18 years old or the age of majority in their place of residence, if older. (Any such person who participates or attempts to participate in the Referral Program is described in these Referral Program Terms as a “Referrer”). Stanley employees, or those of any Stanley parent, subsidiary, affiliate, or service provider (and members of the immediate family or household of any such person) are not eligible to participate. You agree not to provide an email address for a potential Friend (defined below) or otherwise distribute your Referral Link (also described and defined below) to any person unless they are at least 18 years old. Users may not participate in the Program where doing so would be prohibited by any applicable law or regulation. 

 

  1. How to Participate. 

  

  1. Referral Link. To participate in the Referral Program, an eligible participant must first visit Site and follow the on-screen links and instructions to provide an email address, agree to these Referral Program Terms, and select how to share with Friends (defined below) your unique Referral Program link (“Referral Link”). There is a limit of one (1) Referral Link per person.   

 

When signing up, on-screen instructions on the Site will provide information regarding the specific discount or other reward that will be offered to your Friends and the specific discount or other reward you will receive in the event a Friend you have referred makes a Qualifying Purchase (as defined below) in accordance with these Referrer Program Terms (the “Offer”). Offer is subject to change at any time in Stanley’s sole discretion.  

 

You may share the Referral Link with friends, family members, and/or colleagues who have not previously registered for an account with Stanley and made a purchase (“Friends”). You may use the Site to send an invitation email to a Friend (but note that anyone who previously opted out of receiving marketing messages from us will not receive a such an invitation email). You may also invite Friends by distributing your Referral Link through your personal email address or messaging services, your social media profiles or other means. However, you are responsible for ensuring your referral activities comply with all applicable laws, including the disclosure requirements noted in Section 3 below, and platform terms. You represent that you know the Friends with whom you are sharing the Referral Link and that, to the extent any consent is necessary, you have consent to send emails or other communications to your Friends. Participants must respect the spirit of the Program by only referring real individuals who meet the requirements of these Referral Program Terms.   

 

Friends who attempt to secure a discount code through your Referral Link are subject to verification to confirm that they are eligible, first-time Stanley customers and to other fraud-prevention measures intended to preserve the integrity of the Referral Program.  

 

  1. Qualifying Purchase. A “Qualifying Purchase” is one that is (i) made directly at the Site (www.stanley1913.com), (ii) by a Friend who has not previously made a purchase of any kind from the Site, (iii) where the Friend successfully navigated to the Site through a Referrer’s Referral Link, provided a valid, eligible email address (subject to verification by Stanley and its service provider), and thereby received a discount code from Stanley, and (iv) then applied that discount code when completing a qualifying purchase of eligible merchandise (for shipment to a US address) sufficient to satisfy any minimum value or other requirement(s) set forth in the terms for application of such discount code.  

 

  1. Rewards. If a Friend makes a Qualifying Purchase using a discount code obtained through your Referral Link (in accordance with Section 2.2 above), you will receive the discount code or other reward available to referrers as described in the Offer (any a “Reward”). Rewards will be emailed to you within approximately twenty-four (24) hours of your Friend’s Qualifying Purchase being processed and shipped by Stanley.  Unless otherwise specified in terms provided in connection with the Reward, a Reward discount code expires one (1) year after issuance. Reward discount code may not be combined within any other discount or offer, unless otherwise expressly stated in terms for the Reward code and/or the other offer. Restrictions and additional terms may apply, including the exclusion of certain merchandise from application of any discount code or from the subtotal required to use any Reward discount code. Items ineligible for any Reward (or other discount) will be as identified on the Site and include, without limitation, all Quencher products except where otherwise expressly permitted by Stanley.  

 

  1. Qualifying Purchases and issuance of resultant Rewards are subject to verification by Stanley and its Referral Program service provider(s). Stanley may delay a Reward for the purposes of investigation. It may also refuse to verify and process any transaction Stanley deems, in its sole discretion, to be fraudulent, suspicious, or in violation of these Referral Program Terms, or in the event that Stanley believes such transaction may impose potential liability on Stanley, its parents, subsidiaries, affiliates or any of their respective officers, directors, employees, representatives and agents. All of Stanley’s decisions related to the Referral Program are final and binding, including decisions as to whether a Qualifying Purchase is eligible and valid, to which Referrer a Qualifying Purchase should be credited (if any), or a Reward is earned pursuant to these Referral Program Terms. Rewards will be sent by email to the email address provided upon registration for the Referral Program. Stanley is not responsible for Reward emails that are not deliverable or received for any reason, including typos/error in entering your email at registration, changed email address, or email filtering of any kind. You are responsible for ensuring that you have provided an accurate email address. Rewards have no monetary value and may not be redeemed for cash. They are not transferable and may not be copied, auctioned, traded, bartered or sold. 

 

  1. Restrictions.  

 

  1. In General. Referrers must send only legitimate invitation emails to real people whom they actually know. Referrers cannot refer themselves or create multiple or fake accounts with the Stanley (including any attempt to participate in the Referral Program as their own purported “Friends”) or otherwise participate or attempt to participate in the Referral Program in an effort to earn or use Rewards in a fraudulent manner or in violation of these Referral Program Terms. No user may use the Referral Program in a manner that violates any law, infringes or violates the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene or outside the spirit and intent of the Referral Program. In addition, you may not (i) tamper or attempt to interfere with the normal functioning of the Referral Program, (ii) act in an unfair or disruptive manner, or (iii) use any system, bot or other device or artifice to participate or receive any benefit in the Referral Program. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, STANLEY RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 

 

  1. On Distribution of Your Referral Link.  

 

  1. You Must Disclose Your Relationship with Stanley. Every time you post your Referral Link or send your Referral Link to a Friend, you must tell people that you earn an incentive if they use the discount code received through the Referral Link when making a qualifying purchase from Stanley. Telling people that you earn an incentive is a legal requirement. Failure to comply may result in our revoking or declining to issue any Reward you would have otherwise received, if any, and may be a violation of laws enforced by the Federal Trade Commission. You can choose how to communicate your connection to Stanley, but you must be clear that your Friend using your Referral Link to obtain a discount will result in you getting your own discount or other reward (depending on the applicable Offer) from Stanley.  

 

  1. You Are Responsible For Your Communications. You May Not Use Stanley Trademarks without Permission. You are limited in the way you may talk/write about the Referral Program. You understand that for any communications you send, you are sending them on your own behalf. You are not acting as an agent or representative of Stanley. As such, while you may reference Stanley by name when you talk about the Referral Program, you must not, without Stanley’s written permission, use other Stanley trademarks, logos, or materials in your communications about Stanley and the Referral Program. You must not use any domain name or email address that includes the STANLEY name or any other Stanley trademarks (or words/terms that may be confusingly similar to Stanley trademarks). As described above, you must disclose the incentive you receive from Stanley as a participant in the Referral Program, but you must not misrepresent or embellish your relationship with Stanley or write, say, or post anything you know is untrue or may be misleading about Stanley or our products. Do not make performance or other claims about Stanley or our products. And, if someone has asked you to stop sending them messages about the Stanley or the Referral Program, respect that wish. 

 

  1. No Bulk Distribution (Do Not Spam).  You are and must be the actual sender of any and all Referral Program communications you initiate or send and must comply with applicable law. Referrals must be created and distributed in a personal manner that is appropriate and customary for communications with friends, colleagues, and family members. (And - of course - if someone has asked you to stop sending them messages about Stanley or the Referral Program, respect that wish.) Bulk email distribution, messaging, posting a Referral Link in any online public forum, distribution to strangers, or any other behavior in a manner outside the intent of the Referral Program is expressly prohibited and may be grounds for immediate termination and further legal action. Stanley has no obligation to monitor the Referral Program or any related user-initiated communications; however, we may choose to do so and prohibit any use of related Referral Links being used or distributed in violation of these Referral Program Terms (or any discount codes obtained via those links).  

 

  1. Right to Cancel, Modify or Terminate. We reserve the right to cancel, modify or terminate the Referral Program at any time for any reason. We reserve the right to disqualify any user at any time from participation in the Program if he/she does not comply with any of these Referral Program Terms or the Site Terms, or we believe a user has engaged in fraud or the violation of law or regulation. All of Stanley’s decisions with regard to the Referral Program are final and binding. 

 

  1. Disclaimers, Limitation of Liability, Indemnity and Disputes. Without limiting the generality of any other provision of these Referral Program Terms or of the Site Terms, you understand and agree that the DISCLAIMER, LIMITATION OF LIABILITY, INDEMNITY, and DISPUTE RESOLUTION provisions of the Site Terms apply equally to your actual or attempted participation in the Referral Program as they would to any other use of the Site.
